These Terms of Service ("Terms") govern your access to and use of the TopStrike platform ("TopStrike", "Platform", "we", "us"), operated by TopStrike Corp., a corporation incorporated in the Republic of Panama ("Company").
By accessing or using TopStrike, you agree to be bound by these Terms.
If you do not agree, do not use the Platform.
1. About TopStrike
TopStrike is a Web3 sports-gaming application that allows users to:
receive free mystery packs containing player cards
trade player cards via non-custodial smart contracts
hold cards whose real-world performance may earn prize-pool rewards
compete in skill-based gameplay formats
TopStrike is not an investment platform, gambling service, financial instrument, or betting product.
2. Age & Eligibility
To use TopStrike, you must:
be at least 18 years old (or the age of majority in your jurisdiction),
have legal capacity to enter contracts,
not be located in a restricted jurisdiction (Section 14),
comply with all applicable laws.
If you use the Platform from a restricted region, you violate these Terms.
2.1 One Account Per User
Each individual is permitted one account only. Account sharing or multi-accounting is prohibited.
Violation may result in:
suspension,
prize forfeiture,
termination of all linked accounts.
3. Account & Wallet Connection
TopStrike uses non-custodial Web3 wallet authentication via Privy.
By connecting your wallet, you confirm that:
you are the lawful controller of that wallet;
you authorise reading of its public on-chain data;
we cannot recover lost private keys, seed phrases, or credentials.
We do not custody user-owned on-chain assets.
4. Non-Custodial Smart Contracts
Trading occurs through autonomous, non-custodial smart contracts.
You acknowledge:
transactions are irreversible;
smart contracts may malfunction or be exploited;
we cannot reverse or retrieve transactions;
you alone control your wallet.
Use of smart contracts is at your sole risk.
5. Prize Pool Mechanics
A defined percentage of on-chain trading fees is programmatically allocated to a prize wallet controlled by TopStrike solely for Matchday reward distribution.
We:
do not hold user deposits,
do not operate as an exchange,
only hold funds allocated automatically for prizes,
distribute ETH rewards per published rules (see GitBook).
We may conduct AML/sanctions checks prior to payouts.
6. Skill-Based Game Mechanics
TopStrike is a skill-based digital collectibles game.
Rewards depend on:
timing, trading, and card selection strategy;
real-world player performance;
leaderboard rankings.
There is:
no mandatory entry fee to participate in Matchday competitions,
no wagering,
no paid loot boxes,
no requirement to purchase anything to win rewards.
Free packs are non-purchasable and occasional.
7. No Financial Advice
Nothing on TopStrike constitutes:
financial advice
investment advice
a recommendation to buy/sell assets
guarantees of value
Cards are digital collectibles, not securities.
8. Risk Disclosure
You understand and accept the following risks:
8.1 Blockchain Risk
Network failures, congestion, gas volatility, irreversible transfers.
8.2 Smart Contract Risk
Bugs, exploits, unexpected behaviours.
8.3 Volatility Risk
ETH and card values may fluctuate significantly.
8.4 Bonding Curve Risk
Prices can rise/fall quickly; slippage may occur.
8.5 Prize & Data Risk
Rewards depend on external sports data and third-party feeds. We do not guarantee accuracy, completeness, timeliness, or uninterrupted availability.
8.6 Regulatory Risk
Regulatory treatment of blockchain applications and digital assets is evolving and may change in ways that impact the availability or operation of the Platform.
9. Acceptable Use Policy (AUP)
You agree NOT to:
9.1 Automated or Unfair Play
You must not:
access the Platform through bots, scripts, scrapers, crawlers, or automated systems;
mimic or automate human gameplay, trading, or interactions;
deploy software to gain unfair advantage;
manipulate gameplay or system logic.
Violation may result in suspension, termination, prize forfeiture, or legal remedies.
9.2 Exploits & Manipulation
Do not:
exploit bugs,
manipulate bonding curves or oracles,
engage in collusion or match-fixing,
perform multi-account farming.
9.3 Prohibited Conduct
No:
harassment or abuse,
money laundering,
bypassing geo-restrictions (including VPN use),
hacking or security violations.
10. 30-Day Access Window After Suspension
If your account is suspended:
you will have 30 days to access the Platform to manage any digital assets associated with your account.
after 30 days, TopStrike is not responsible for retrieving or restoring access to any assets linked to the suspended account.
11. Content Moderation
We may remove:
offensive usernames,
avatars or images,
spam,
abusive behaviour,
content violating copyrights or trademarks.
We may take action even without determining legal infringement.
12. Fees
Fees apply to:
blockchain gas,
bonding curve transactions,
prize pool contributions (embedded in trades).
All fees are non-refundable.
13. Intellectual Property & Licensing
TopStrike owns:
the Platform design, branding, and artwork,
scoring logic,
UI/UX,
proprietary algorithms and content.
13.1 No Club or League Affiliation
TopStrike is not affiliated with any football club, any league, or any governing body.
We do not use:
official club badges,
team logos,
official kit designs,
player likeness rights.
Any resemblance is coincidental or for gameplay purposes only.
14. Geo-Blocked Countries
You may not use the Platform if located in:
United States, United Kingdom, China, Japan, Singapore, Australia, United Arab Emirates (UAE), Netherlands, Iran, Iraq, Syria, North Korea, Sudan, South Sudan, Cuba, Belarus, Russia, Afghanistan, Yemen, Myanmar, Venezuela, Lebanon, Pakistan, and any jurisdiction under OFAC, EU, UK, or UN sanctions.
We may modify this list at any time to comply with legal or regulatory requirements.
15. User-Generated Content
We may remove user-generated content that is:
illegal,
offensive,
misleading,
impersonating others,
violating these Terms.
16. Suspension & Termination
We may suspend or terminate access for:
AUP violations,
fraudulent or suspicious activity,
legal/regulatory reasons,
geo-block violations,
threats to system integrity.
We may void prizes earned through violations.
17. Limitation of Liability
To the fullest extent permitted by law:
we are not liable for losses arising from smart contracts, market fluctuations, hacks, outages, third-party failures, or user error;
our total aggregate liability to you, under any theory of liability (whether in contract, tort, negligence, strict liability, or otherwise) arising out of or in connection with the Platform, shall not exceed USD $100 or the total amount of fees you paid to TopStrike in the 12 months preceding the claim, whichever is greater.
17A. Indemnification
You agree to indemnify, defend, and hold harmless TopStrike Corp., its directors, officers, employees, contractors, and partners from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to:
your breach of these Terms,
your violation of applicable law,
your misuse of the Platform,
your use of bots, exploits, or manipulation,
your on-chain activity connected to the Platform, or
any third-party claims arising from your actions.
17B. Privacy Policy
By using the Platform, you also agree to the terms of our Privacy Policy, which forms an integral part of these Terms.
18. Governing Law & Arbitration
These Terms are governed by the laws of the Republic of Panama.
Any dispute shall be resolved exclusively by binding arbitration administered by the Panama Conciliation and Arbitration Centre (CECAP).

Award: Final and binding
No class actions permitted.
18A. Informal Dispute Resolution
Before initiating arbitration, you agree to first contact us at [email protected] and allow us 30 days to attempt to resolve the issue informally.
Only after this period may you proceed to arbitration as described in Section 18.
18B. Force Majeure
TopStrike shall not be liable for any failure or delay in performance caused by events outside our reasonable control, including but not limited to:
blockchain outages,
RPC or node failures,
MegaETH network downtime,
sports data provider outages,
internet disruptions,
denial-of-service attacks,
exploits or attacks by third parties,
acts of nature, war, civil unrest, or government intervention.
During such events, services may be limited or unavailable without refund or compensation.
19. Changes to These Terms
We may update these Terms periodically. The "Last Updated" date indicates the latest version. Continued use constitutes acceptance.
19A. Assignment
TopStrike may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, restructuring, sale of assets, or creation of a successor entity.
You may not assign your rights or obligations under these Terms without our prior written consent.
19B. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.
Any invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, consistent with the original intent of the Parties.
19C. Entire Agreement
These Terms constitute the entire agreement between you and TopStrike regarding use of the Platform and supersede any prior or contemporaneous agreements, communications, or understandings.
20. Tax Responsibility
Users are solely responsible for determining and paying any taxes arising from use of the Platform, including rewards received, trading activity, or digital asset transactions. TopStrike does not provide tax advice or reporting.
